TERMS OF USE AGREEMENT

This Terms of Use Agreement (the "Agreement") is entered into by and between you, as the user of the Site (the "User"), and ECROBOT Co., Ltd. ("ECROBOT"). This Agreement describes the terms and conditions applicable to your use of the ECROBOT website identified by the URL WWW.ECROBOT.COM (the "Site") and all services provided through or in connection with the Site, including the Shopping Agent Coumong service.

CHAPTER 1. GENERAL PROVISIONS

Article 1 (Purpose & Scope) 

1.1 This Agreement, along with ECROBOT's Privacy Policy and Anti-Spam Policy, constitutes the entire agreement between the User and ECROBOT with respect to access to and use of the Site, superseding any prior written or oral agreements, representations, or understandings in relation to the same subject matter herein.

1.2 ECROBOT and the User are independent contractors, and no agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by this Agreement.

1.3 If any provision herein is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be struck or modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

1.4 Headings used herein are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of such section. 

1.5 ECROBOT's failure to enforce any right or failure to act with respect to any breach by a User under this Agreement will not constitute a waiver of that right, nor will it waive ECROBOT's right to act with respect to subsequent or similar breaches.

1.6 ECROBOT shall have the right to assign its obligations, rights, and duties under this Agreement and any agreement relating to Premium Services or Sourcing/Logistics Services to any person or entity, provided that the User's rights are not fundamentally diminished.

1.7 This Agreement shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law principles. The parties hereto hereby agree that the Seoul Central District Court in the Republic of Korea shall have exclusive first-instance jurisdiction over any legal disputes, controversies, or claims arising out of or in connection with this Agreement. The User explicitly acknowledges that all transactions initiated on this Site are commercial Business-to-Business (B2B) transactions, and the User hereby waives any rights to claim consumer protection laws or jurisdiction under any forum outside the Republic of Korea. Should the User initiate any legal action or regulatory complaint in a foreign jurisdiction in violation of this clause, the User shall be strictly liable to fully indemnify ECROBOT for all resulting legal fees, expenses, and damages incurred.

Article 2 (Application and Acceptance of Terms) 

2.1 For purposes of this Agreement, a "User" is any person who accesses the Site for whatever purpose, regardless of whether such User has registered with ECROBOT as a registered user or whether such User is a paying customer for a specific service provided by ECROBOT. A User includes the individual accessing this Site and any legal entity which may be represented by such person under actual or apparent authority.

2.2 By accessing or using the Site or any services provided under the Shopping Agent Coumong framework, you hereby agree to accept and be bound by the terms and conditions set forth in this Agreement as a User. The User explicitly represents and warrants that they are acting solely in the capacity of a merchant (and not as an individual consumer) for commercial B2B sourcing and trade purposes. If you do not accept all of the terms and conditions of this Agreement, please immediately cease using this Site and its services.

2.3 In the event of any conflict or inconsistency between Chapter 2 (General B2B Marketplace Rules) and Chapter 3 (Shopping Agent & Logistics Services) of this Agreement, the specific terms set forth in Chapter 3 shall prevail with respect to any transactions and services conducted through Shopping Agent Coumong.

2.4 ECROBOT reserves the right to amend this Agreement at any time by posting the amended and restated Agreement on the Site. The amended Agreement shall become effective seven (7) days after posting (or thirty (30) days for amendments that are disadvantageous to the User). Your continued use of the Site or Services after the effective date shall be deemed an absolute acceptance of the amended terms. This Agreement was last amended and restated on July 17, 2026.

CHAPTER 2. GENERAL B2B MARKETPLACE & USER OBLIGATIONS

Article 3 (Users Generally & Third-Party Content) 

3.1 Users may use this Site solely for their own internal business or personal verification purposes. Each User agrees that it shall not copy, reproduce, harvest, or download any information, text, images, video clips, directories, files, databases, or listings available on or through the Site (the "ECROBOT Content") for the purpose of re-selling or re-distributing the ECROBOT Content, mass mailing, operating a business that directly competes with ECROBOT, or otherwise commercially exploiting the ECROBOT Content without express written permission from ECROBOT.

3.2 Some of the ECROBOT Content displayed on this Site is provided or posted by third parties ("Third Party Content"). ECROBOT does not act as a sales agent or broker for such third parties unless explicitly stated under Chapter 3. Third Party Content is the sole responsibility of the party who provided it. ECROBOT does not warrant or guarantee the accuracy, lawfulness, quality, or truthfulness of Third Party Content.

3.3 No User shall undertake any scheme, software routine, or activity to undermine the integrity of the computer systems or networks used by ECROBOT and/or any other User, and no User shall attempt to gain unauthorized access to such computer systems or networks.

Article 4 (Registered Users & Accounts) 

4.1 Each User who has completed an online registration form on the Site by providing its information (such as name, address, telephone/fax number, email, and business details) is a registered user of ECROBOT (a "Registered User"). ECROBOT will establish an account ("Account") for each Registered User assigned with a unique User ID and Password.

4.2 If the Registered User is a business entity, you represent and warrant that: (a) you have the full legal authority to bind the entity to this Agreement; (b) the address used during registration is the principal place of business of such entity; and (c) all information submitted to ECROBOT is true, accurate, current, and complete.

4.3 By becoming a Registered User, you consent to the inclusion of your business data in our Gold Buyer Database for global business matching purposes in accordance with our Privacy Policy. Users may withdraw consent for data inclusion at any time, though certain features may be restricted.

4.4 Each Registered User is solely responsible for maintaining the confidentiality and security of their User ID and Password, and shall be fully liable for all activities under their Account.

Article 5 (B2B Information Exchange & Direct Supplier Transactions) 

5.1 For standard non-agent B2B directory listings, ECROBOT provides an electronic web-based platform for exchanging information between buyers and suppliers. Except for transactions explicitly processed under the Shopping Agent Coumong service (Chapter 3), ECROBOT does not represent either the seller or the buyer in specific B2B direct transactions and does not charge transaction commissions.

5.2 Each User acknowledges that it fully assumes all Transaction Risks when engaging in direct B2B transactions with third-party suppliers found on the Site.

CHAPTER 3. SPECIAL PROVISIONS FOR SHOPPING AGENT & LOGISTICS SERVICES (Shopping Agent Coumong)

Article 6 (Scope of Shopping Agent Coumong Services) 

6.1 Shopping Agent Coumong is an AI-powered personal sourcing desk and shopping assistant operated, guaranteed, and managed directly under the corporate name of ECROBOT Co., Ltd.

6.2 The scope of services offered under Shopping Agent Coumong includes, but is not limited to:

• Product Sourcing & Procurement: Assisting global buyers in searching, sourcing, and purchasing premium Korean products directly from premier Korean e-commerce platforms and major department stores via advanced Naver Shopping API integration.
• 0% Agent Commission Policy: Procuring items at 0% purchasing agent fee based on local domestic net pricing.
• Consolidation & Warehousing: Collecting items from multiple Korean sellers/stores at the ECROBOT logistics hub for unified international shipment.
• Group Sourcing Support: Facilitating joint sourcing orders to help buyers meet Minimum Order Quantities (MOQs) and reduce per-unit shipping costs.
• FBA & Direct Global Logistics: Labeling, packaging, compliance checks, and direct fulfillment to Amazon FBA warehouses and major global fulfillment centers worldwide. 

Article 7 (0% Commission Pricing & B2B Wire Transfers) 

7.1 Pricing Policy: ECROBOT provides product purchasing services at 0% agent commission (Local Net Price). No hidden surcharges, undisclosed handling fees, or arbitrary price markups will be added to the domestic Korean purchase price. However, actual Third-Party Out-of-Pocket Expenses—including payment gateway/credit card processing fees, international wire transfer fees, and specialized custom packaging/handling material costs specified in Article 9.1 requested by the User—shall be itemized and charged on an at-cost basis in the official Proforma Invoice.

7.2 Proforma Invoice & Currency: Upon order placement and product confirmation, ECROBOT will issue an official Proforma Invoice under the corporate entity name ECROBOT Co., Ltd. All payments shall be made according to the total amount specified on the official invoice.

7.3 B2B Wire Transfer & Trade Execution: All transactions under Shopping Agent Coumong shall be settled via standard Telegraphic Transfer (T/T) or approved secure corporate B2B payment methods. All official trade documentation, customs clearances, and export administration will be legally executed under the corporate name of ECROBOT Co., Ltd. Any statutory tax benefits, including domestic Value-Added Tax (VAT) refunds arising from such official export execution, belong entirely and exclusively to ECROBOT Co., Ltd.

Article 8 (Sourcing Authenticity Verification, Intellectual Property & Inspection) 

8.1 Sourcing Authenticity Framework: ECROBOT mitigates counterfeit risks by procurement exclusively through verified Korean online marketplaces, flagship brand stores, or authorized department stores. ECROBOT establishes rigorous screening protocols to verify that vendors are legally established entities within South Korea.

8.2 Inspection Scope: ECROBOT's logistics center conducts basic visual inspection (item count, visual defect check, and correct model verification) upon arrival at the hub. The scope of this visual inspection is strictly limited to verifying macro-level structural integrity and quantity without unsealing the manufacturer's inner product retail packaging. Minor cosmetic imperfections, micro-scratches, or superficial dents/creases on the outer product retail box or retail unit cardboards occurring during normal transit/handling are expressly excluded from the inspection mandate and are fully indemnified. ECROBOT does not perform technical, chemical, or deep functional testing unless a separate paid quality verification agreement is established. 

8.3 Intellectual Property Liability Disclaimer: While ECROBOT takes systematic measures to ensure sourcing reliability, ECROBOT acts solely as a procurement agent and logistics coordinator. ECROBOT shall not be held liable for third-party intellectual property, trademark, or patent infringement claims arising from third-party manufacturers/sellers, unless caused by ECROBOT's willful misconduct or proven gross negligence.

Article 9 (Logistics, Smart Consolidation, FBA & Customs Compliance) 

9.1 Smart Consolidation & Repacking: ECROBOT will aggregate products purchased across different domestic merchants at the designated logistics hub and consolidate them into a unified shipment to minimize international freight expenses. While the consolidation service fee itself is waived or discounted under Company policy, the exact at-cost expenses for export-grade packaging materials (boxes) required for secure transit, as referenced in Article 7.1, will be itemized and billed to the User.

9.2 Post-Office EMS Infrastructure: Unless requested otherwise by the User, international outbound logistics are primarily dispatched utilizing the Korea Post Office EMS network or approved commercial express channels to ensure efficient tracking and optimized shipping overhead.

9.3 Direct-to-FBA & Compliance: For shipments routed directly to Amazon FBA or global third-party logistics (3PL) fulfillment centers, ECROBOT will execute labeling, outer carton compliance, and export documentation according to Amazon/3PL guidelines. ECROBOT shall not be liable for FBA rejection penalties, delays, or re-labeling fees resulting from incorrect FNSKU labels or barcode data provided by the User. ECROBOT's liability for direct errors in physical labeling execution shall be strictly limited to re-performing the labeling service or compensating direct out-of-pocket costs incurred.

9.4 Export Declaration Compliance & User Indemnification: All outbound international cargo processed through the logistics hub will be legally reported to the Korea Customs Service. For individual shipments with a total item value of 5 million KRW or less, a simplified export declaration (Simplified Export Declaration) will be executed under the corporate name of ECROBOT Co., Ltd. by submitting the appropriate 10-digit HS CODE. Shipments exceeding 5 million KRW will be processed via general export declarations. The User is strictly required to provide accurate, truthful, and complete product description data necessary for proper HS CODE classification. If any fines, administrative penalties, customs holds, seizures, or legal investigations are imposed on ECROBOT Co., Ltd. under the Customs Act of Korea due to the User’s provision of inaccurate, false, or incomplete product descriptions or data, the User shall fully indemnify, defend, and hold ECROBOT Co., Ltd. harmless from and against any and all resulting legal, financial, and economic liabilities, losses, or damages.

9.5 Customs Duties & Import Compliance: Unless explicitly included in the Proforma Invoice, all international import duties, tariffs, VAT, customs clearance fees, destination taxes, and destination country regulatory compliance liabilities remain the sole responsibility of the User. ECROBOT shall not be held responsible for goods seized, delayed, fined, or destroyed by foreign customs due to destination country import restrictions, restricted chemical ingredients (e.g., in K-Beauty/Food), or lack of local regulatory approvals.

Article 10 (Order Cancellation, Final Sale & Defect Handling) 

10.1 Pre-Procurement Cancellation: Users may cancel an order free of charge before ECROBOT completes payment to the domestic Korean seller.

10.2 Post-Procurement Non-Refundability & Final Sale Policy (Strict No-Return Policy): All sales processed through Shopping Agent Coumong are final. Once ECROBOT has completed the purchase of products from domestic Korean suppliers/merchants, cancellations, returns, exchanges, or refunds based on User's change of mind, market price fluctuations, or unsalability on international platforms are strictly prohibited and non-refundable. The User explicitly acknowledges and agrees that international commercial procurement involves cross-border logistics and customs administration, making simple change-of-mind returns legally and operationally infeasible.

10.3 Defects, Shipping Damages & Chargeback Prohibition: In the event of damaged, defective, or materially incorrect items caused by ECROBOT's handling or seller error, ECROBOT will assist in filing claims with logistics carriers or processing replacements/refunds promptly upon notification and submission of photo/video proof within seven (7) business days of delivery. Under no circumstances shall the User initiate an absolute or unilateral chargeback or dispute via their credit card issuer, payment gateway, or payment processors without ECROBOT's prior express written consent. In the event of a verified product discrepancy, remedy shall be strictly limited to the re-dispatch of the correct items or the issuance of Coumong platform credits at ECROBOT's sole discretion. The User shall bear all inbound return freight expenses unless a mutual alternative written agreement is reached.

CHAPTER 4. LIMITATION OF LIABILITY & MISCELLANEOUS

Article 11 (Limitation of Liability) 

11.1 THE FEATURES AND SERVICES ON THE ECROBOT SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EXCEPT AS EXPLICITLY PROVIDED IN CHAPTER 3, ECROBOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO QUALITY, ACCURACY, OR FITNESS FOR A PARTICULAR PURPOSE.

11.2 UNDER NO CIRCUMSTANCES SHALL ECROBOT BE HELD LIABLE FOR ANY DELAY, FAILURE, OR DISRUPTION RESULTING DIRECTLY OR INDIRECTLY FROM ACTS OF NATURE, INTERNET FAILURES, TELECOMMUNICATION FAILURES, POWER OUTAGES, STRIKES, FIRES, FLOODS, WAR, GOVERNMENTAL ACTIONS, OR CUSTOMS CLEARANCE DELAYS BEYOND ITS REASONABLE CONTROL.

11.3 EXCEPT IN CASES OF WILLFUL MISCONDUCT OR GROSS NEGLIGENCE ON THE PART OF ECROBOT, ECROBOT SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS OR BUSINESS INTERRUPTION).

Article 12 (Intellectual Property Rights) 

12.1 ECROBOT is the sole owner or lawful licensee of all rights to the Site and the ECROBOT Content. All title, ownership, and intellectual property rights shall remain exclusively with ECROBOT Co., Ltd. or its licensors.

12.2 "ECROBOT", "ECROBOT.COM", "Shopping Agent Coumong", and related logos are registered trademarks or service marks of ECROBOT Co., Ltd. Unauthorized copying, modification, or commercial exploitation is strictly prohibited.

Article 13 (Company Contact Information & Notices) 

13.1 All official notices or demands to or upon ECROBOT shall be made in writing and sent to the following official corporate address:

13.2 All notices to a User shall be effective if delivered personally, sent by courier, certified mail, or email to the last known address provided by the User, or by posting on a publicly accessible area of the Site. Material changes affecting the User's legal rights will be notified individually via the Registered User's registered email address at least seven (7) days prior to implementation.
